Welcome to The Drop Log. These Terms of Service ("Terms") govern your access to and use of DropAndDocument.com (the "Site") and all related services, features, and content provided by The Drop Log. TO THE FULLEST EXTENT PERMITTED BY LAW, THE DROP LOG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The results obtained from using The Drop Log will be accurate or reliable
  • The quality of any products, services, information, or other material obtained through the service will meet your expectations
  • Any errors in the software or service will be corrected

  • Any conduct or content of any third party on the service
  • Any content obtained from The Drop Log
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL THE DROP LOG'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO THE DROP LOG, IF ANY, IN THE TWELVE MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you to the extent prohibited by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless The Drop Log, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service
  • Your use of DropAndDocument.com, including but not limited to your User Content
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws, rules, or regulations

The Drop Log reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with The Drop Log in asserting any available defenses.

10. Termination

These Terms remain in full force and effect while you use The Drop Log. We may terminate or suspend your account and access to DropAndDocument.com immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms of Service
  • Violation of applicable laws or regulations
  • Fraudulent, abusive, or illegal activity
  • Upon your request to terminate your account
  • For any other reason at our sole discretion

Upon termination, your right to use The Drop Log will immediately cease. If you wish to terminate your account, you may do so by discontinuing your use of the service or by contacting us directly. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

Termination of your account does not relieve you of any obligations incurred prior to termination or limit any liability that you may have to The Drop Log or any third party.

11. Governing Law and Dispute Resolution

These Terms of Service and any dispute or claim arising out of or related to these Terms or your use of DropAndDocument.com shall be governed by and construed in accordance with the laws of the jurisdiction in which The Drop Log operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and The Drop Log shall be brought exclusively in the federal or state courts of competent jurisdiction located in our operating jurisdiction, and you irrevocably consent to the personal jurisdiction and venue of such courts.

If you have any dispute with The Drop Log, you agree to first contact us and attempt to resolve the dispute informally by sending written notice to our contact information listed below. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, you or The Drop Log may bring a formal proceeding.

12. Changes to Terms of Service

The Drop Log reserves the right to modify, update, or replace these Terms of Service at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on DropAndDocument.com and updating the "Last Updated" date at the top of this page.

Force Majeure: The Drop Log shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.
